ARTICLE I – GENERAL

 

A.      Name

The organization shall be called the Atlanta Parrot Head Club (APHC).

 

B.     Mission

The Atlanta Parrot Head Club is a not for profit organization dedicated to preserving and improving the environment, active in community oriented projects and concerns as a means of social interaction with like minded people interested in the lifestyle and music of Jimmy Buffett and the tropical life style he personifies.

 

C.     Purpose

The purpose of the organization is to promote the Atlanta Parrot Head Club as a humanitarian group that shares information for community and environmental mutual benefits.  The organization will engage in activities that are charitable, educational, high spirited, and promote the general welfare of the community.

 

D.     Founder

K. Scott Nickerson was the founder of the Atlanta Parrot Head Club.

 

 

ARTICLE II – MEMBERSHIP and DUES

 

A.      Atlanta Parrot Head Club Membership

 

Membership in the Atlanta Parrot Head Club shall be open to all persons, regardless of sex, creed, national origin, or sexual orientation.

 

B.     An active member in good standing shall:

 

1.      Pay dues set forth by the Atlanta Parrot Head Club.

 

2.      Adhere to bylaws adopted by the membership of the Atlanta Parrot Head Club as well as Parrot Heads in Paradise, Inc.

 

3.      Have an interest in Jimmy Buffett's music.

 

4.      Have an interest in community service and environmental concerns.

 

5.      Participate in Atlanta Parrot Head Club activities.

 

6.      Not act on behalf of the Atlanta Parrot Head Club without written approval from the Board of Directors. This applies to, but is not limited to, planning events, requesting donations and posting to Internet sites.

 

7.      Have a completed membership form and signed membership form addendum on file.  (A copy of the completed membership form and a copy of the check will constitute signed membership form.)

 

8.      Pursuant to the request of HK Management, The Howard Rose Agency, and Margaritaville Holdings, Inc., no Atlanta Parrot Head Club member, Board of Directors member, or founder is authorized to contact any of these organizations regarding Jimmy Buffett concert tickets or any other matter pertaining to Parrot Heads in Paradise, Inc.  Any and all communication shall be through Parrot Heads in Paradise, Inc. (PHIP).

 

C.     Annual Dues

 

1.      Membership dues are based on a standard calendar year and are January through December of each year.

 

2.      Membership dues and renewals are due by January 31 of each membership year.

 

3.      Membership renewal notices will be sent in November with a reminder note in the last issue of the newsletter for the year.

 

4.      Dues- Individual $20.00, Couples $30.00.  Renewals - if dues have not been paid by January 31, a $5 late fee will be assessed.  If dues have not been paid by last day of February, the member will no longer be a member in good standing and all that that implies.  If a member has a check returned, as long as they contact the Director of Finance before the last day of February and set up a time to make amends including the NSF charges by March 10, they will still be considered member in good standing.

 

5.      If you join the Atlanta Parrot Head Club after October 1, your membership will be from October to January (example October 1, 2005December 31, 2007).  Your renewal dues need to pay by January 31 of following year.

 

6.      Refunds will not be issued regardless of the reason of the termination of membership.

 

7.      The Board of Directors can provide a financial waiver of dues as necessary.  Requests for such waiver must be submitted in writing to the Board of Directors.  Any member granted such a waiver should be as active as they can.  They will monitored by the Atlanta Parrot Head Club to show their sincerity.

 

D.     Lifetime Membership

 

1.      This is an honor bestowed upon a member that has gone above and beyond for the Atlanta Parrot Head Club.  This honor means the member is forever a member of Atlanta Parrot Head Club and that they no longer will have to pay dues.

 

2.      The Board of Directors will make a recommendation and present it to the current Life Time members for voting. 

 

3.      Lifetime membership shall be recommended and bestowed at the frequency and discretion of the Board of Directors and other Lifetime Members.

 

E.     Removal of Membership

 

1.      Any member, who has not paid their dues by the last day of February, voluntarily terminates his or her membership, with loss of standing and community service points.  Subsequent payment of dues will establish a new membership, but will not reinstate community service points previously earned.

 

2.      Pursuant to the request of HK Management, The Howard Rose Agency, and Margaritaville Holdings, Inc., no Atlanta Parrot Head Club member, Board of Directors member, or founder is authorized to contact any of these organizations regarding Jimmy Buffett concert tickets or any other matter pertaining to Parrot Heads in Paradise, Inc. Any and all communication shall be through Parrot Heads in Paradise, Inc.

 

3.      Any member may be removed from the Atlanta Parrot Head Club for just cause including, but not limited to, wrong doing, failure to adhere to responsibilities as specified in the bylaws, or actions determined to be a detriment to the organization as a whole.

 

4.      A written motion for removal can be submitted by any Atlanta Parrot Head Club member in good standing to any member of the Board of Directors who shall disperse such motion to the Board of Directors.  The Board of Directors will notify the member who is in dispute first.  Then, the Board of Directors has fifteen (15) working days to request clarification or to dispute the motion.  Such requests shall be filed within fifteen (15) working days with the member.  The member then is required to respond in the same time frame. This correspondence shall continue until the matter is resolved.  Email or phone meetings are acceptable as long as every person can hear every other person with regular quorum rules applying and records of such meetings being kept.

 

5.      The motion will be voted upon following the completion of correspondence.  A two thirds majority of the balance of the Board of Directors is necessary for action.

 

ARTICLE III – MEETINGS

 

A.      Social Meetings

 

1.      The Atlanta Parrot Head Club will have at least two Happy Hours a month.

 

2.      The Atlanta Parrot Head Club will also have a Saturday Happy Hour once a quarter. 

 

3.      These events may include a charity fund raising event.

 

4.      One member of the Board of Directors must be present at Happy Hours or public events.

 

B.     Quarterly Board of Directors Meetings

 

1.      Board of Directors meetings will occur quarterly (every three months). 

 

2.      All quarterly Board of Directors meetings are open to members in good standing. 

 

C.      Special Board of Directors Meetings

 

1.      Email or phone meetings are acceptable as long as every Director can hear every other Director with regular quorum rules applying and records of such meetings being kept.

 

2.      The minutes of these meetings must be presented to the Atlanta Parrot Head Club at the next Happy Hour and posted on the Atlanta Parrot Head Club website in a timely basis.

 

D.     General Atlanta Parrot Head Club Meeting

 

1.      The Atlanta Parrot Head Club will have a Town Hall styled meeting in the first and third quarter of the year for a total of two Town Hall meetings per year.

 

2.      Any member in good standing may attend a Town Hall Meeting or Board of Directors Meeting.  Anyone who cannot conduct him or her self in a professional manner will be asked to leave the meeting until he or she can conduct themselves in a professional manner.

 

3.      Any Atlanta Parrot Head Club decisions presented at the Town Hall meeting on Atlanta Parrot Head Club activities and charities supported will be by a simple majority vote of those members in good standing present.  

 

4.      Special Town Hall Meeting can be called for immediate decisions that involve the Atlanta Parrot Head Club.  If time cannot permit a meeting, a vote can be called by email.

 

5.      Minutes will be taken at all meetings and posted on the website.

 

ARTICLE IV – ATLANTA PARROT HEAD CLUB BOARDS and RESPONSIBILITIES

 

A.      The Board of Directors and Board of Trustees (aka Advisors)

 

1.      The Board of Directors will consist of five Atlanta Parrot Head Club members in good standing with The Atlanta Parrot Head Club.

 

2.      The Board of Directors will have a two-year term beginning February 1 with the exception of the Director of Finance.  When the two-year term is up, a person can run for another term up to two consecutive terms.  Once the second two-year term is up, a person must sit out a year before they can run for a Board of Directors position again.

 

3.      The position of Director of Finance is a trusted position requiring the highest integrity.  As such, it is appointed by the Board of Directors and is held for the term that the sitting Director of Finance feels is appropriate for him or her.  At the time that the sitting Director of Finance decides to vacate the position, it is treated as any other vacant position on the Board of Directors.  After induction of the new Board of Directors, the full Board of Directors will appoint a new Director of Finance from within the existing Board.  Nothing in this sub-Article supersedes the ability of the Atlanta Parrot Head Club to remove a Director for just cause.

 

4.      The Board of Trustees will consist of three retired Board of Directors members that serve as advisory counsel.  As Board of Directors members retire, they will be asked if they would like to be on the Board of Trustees.  The Board of Trustees will determine who of the current Trustees would like to retire.

 

5.      All Board of Director positions are approved and appointed by majority vote of the Atlanta Parrot Head Club members.

 

6.      The Board of Directors and Board of Trustees can be contacted at the following email address:  ATLParrotHeadClub-owner@yahoogroups.com .

 

7.      The Board of Directors will be responsible for ensuring all Atlanta Parrot Head Club activities are conducted within the guidelines of Parrot Head in Paradise Inc., as established in the PHIP bylaws (http://www.phip.com/Docs/bylaws2004.pdf) established at the 1997 Meeting of the Minds, and the Atlanta Parrot Head Club Statement of Purpose.  The Board is also responsible for conducting Atlanta Parrot Head Club business within the guidelines for Articles of Corporation of Atlanta Parrot Head Club Inc. and the Atlanta Parrot Head Club Bylaws.

 

8.      The Atlanta Parrot Head Club Board of Directors will meet to deal with topics such as legal issues, taxes, financial issues (relating to Atlanta Parrot Head Club business), PHIP issues, etc.  Pursuant to the above, the Board of Directors must review the activities with the Atlanta Parrot Head Club members at the next Happy Hour meeting.  The Board of Directors will make available all the information regarding the topic.

 

9.      All decisions will be by consensus, with each Board of Directors Member having one vote.  Past Board of Directors members aka “Board of Trustees” may serve as a tiebreaker if consensus cannot be reached.  Any and all Board of Directors’ decisions will be reported at the next Happy Hour meeting and on the Atlanta Parrot Head Club website.  Any member of the Board that will benefit financially or materially, or have some other form of conflict of interests, from any matter under consideration by the Board must excuse him/herself from voting.  A majority vote of the remaining disinterested Board members is required to resolve the vote.

 

10.  The Atlanta Parrot Head Club Board of Directors will pass on all materials, books, notes, and records for the present and prior years in good condition to the succeeding Board of Directors members.

 

11.  The Board of Directors will act on recommendations from the general membership meetings and forward projects/concepts to the general membership meetings for approval and enactment.

 

12.  For continuity purposes, no elections in a single year will cause the replacement of over two thirds of the current Board of Directors.

 

B.     Responsibilities of the Board of Directors

 

1.      Director of Membership

a.      Ensure that there is an active recruiting program for new members and renewals within the Atlanta Parrot Head Club.

b.      Respond to requests for membership information.

c.      Distribute membership packet, which includes Name Tag, welcome letter and current copies of the Atlanta Parrot Head Club bylaws and newsletter.

d.      Work with Director of Finance to ensure membership lists are accurate and cross- reference dues and renewals payments.

e.      Maintain the Membership Directory and Community Service Points.  Important – this information needs to be available for PHIP and Concert Ticket Administrator 365 days out of the year.

f.        Maintain copy of the Membership Directory and cross-referencing Community Service Points with the Community Service Coordinator.

g.      Ensure that all active Atlanta Parrot Head Club members have a current membership form and a signed Membership form addendum on file by timely distributing these forms to Atlanta Parrot Head Club members.

h.      Renew the Atlanta Parrot Head Club membership charter with PHIP every January.

i.         Produce, update, and distribute the membership phone and email directory to members in good standing.  Keep Yahoo membership updated and current.

j.         Work with Social Committee Chairperson.

 

2.      Director of Communications (Secretary)

a.      Record the minutes at all Board of Directors and Town Hall meetings.  Plus provide complete, minutes of these meetings to the Webmaster, Director of Membership and Newsletter Editor within 30 days of the meeting.

b.      Provide a substitute, if unable to attend any Atlanta Parrot Head Club meeting, and make sure that the minutes are distributed to the appropriate individuals.

c.      Handle all correspondence on behalf of the Atlanta Parrot Head Club as deemed necessary.

d.      Work with Atlanta Parrot Head Club Webmaster about posting information on Atlanta Parrot Head Club Website.

e.      Make sure announcements or information (Happy Hours, Community Service Events, etc) are getting out in a timely matter for Atlanta Parrot Head Club updates.

f.        Work with local media to establish and maintain positive relations and publicity.  This should involve publications in local newspapers (free and paid ads), radio announcements of upcoming Events including Community Service events.

g.      Secure newsletter advertising, if applicable.

h.      Contact organizations and offer free advertising in the newsletter and on the Atlanta Parrot Head Club website to secure discounts for Atlanta Parrot Head Club members.

i.         Responsible for working with the newsletter and Webmaster committee chairperson(s)

 

3.      Director of Finance (Treasurer)

a.      Record and keep track of all financial functions and transactions.  These records should include detailed descriptions of each transaction to include the origination of deposits, description of withdrawals, amount paid, amount outstanding, etc.

b.      Prepare financial reports that include income, expenses and balance for presentation at quarterly Board of Directors meetings. This report will be made available to any member in good standing upon request.

c.      Work with the Director of Membership to keep a current membership list in order to ensure that renewal notices are issued to all members.

 

4.      Director of Community Service

a.      Take suggestion and present them to the membership as possible charities to support.

b.      Set the Community Service Calendar each February.  

c.      Work with all the Community Service Chairpersons who are in charge of community service events (example Road Clean Up, Alzheimer’s Memory Walk, Blood Drive, Breast Cancer Walks, etc).

d.      Maintain or collect record of monies, time, and/or items donated to individual charities.

e.      Maintain and provide a record of participating members to the Director Membership for cross referencing the tracking of community service points.

 

5.      Director of Merchandising and Atlanta Parrot Head Club Parties

a.      Maintain inventory of Atlanta Parrot Head Club merchandise

b.      Coordinate the Atlanta Parrot Head Club prize giveaways. Other Board of Directors Members may participate in acquiring prize donations, but final distribution and usage will be at the discretion of the Director of Merchandising.

c.      Monitor the disposition of prizes donated to the Atlanta Parrot Head Club to assure that they are not used for personal use.  Any reports of misuse should be reported immediately to the Board of Directors.

d.      Maintain an inventory of all goods.

e.      This position may be held concurrently with another position on the Board of Directors.

f.        Assure that social events such as the Christmas Party, Anniversary Party, Parking Lot Party (concert or not), and Saturday Quarterly Happy Hour occur.

g.      Work with Director of Communications, Newsletter Chairperson and Webmaster to help promote these parties.

h.      Work with the Director of Community Service especially since most of the parties are community service point events.

i.         Recruit Social Committee to help with logistics of the events if needed.

 

C.     Removal of Any Board of Directors Member

 

1.      Any Board of Directors member may be removed from office for just cause including, but not limited to, wrong doing, failure to perform job responsibilities as specified in the bylaws, gross negligence in office, or actions determined to be a detriment to the organization as a whole.

2.      A written motion for removal can be submitted by any Atlanta Parrot Head Club member in good standing to any member of the Board of Trustees who shall disperse such motion to the Board of Trustees.  The Board of Trustees will notify Board of Directors Member who is in dispute first.  Then the Board of Trustees has fifteen (15) working days to request clarification or to dispute the motion.  Such requests shall be filed within fifteen (15) working days with the Board of Director.  The Board of Director then is required to respond in the same time frame.  This correspondence shall continue until the matter is resolved.  Email or phone meetings are acceptable as long as every Trustee can hear every other Trustee with regular quorum rules applying and records of such meetings being kept.

ARTICLE V – NON-BOARD MEMBER POSITIONS

 

A.      Committee Chairpersons

 

1.      Social Committee/Community Service Chairpersons

a.      Ensure that special events and functions are planned and completed in a timely manner.

b.      Work closely with the Board of Directors on all projects/events.

c.      Keep the Board of Directors informed of all plans and progress.

d.      Committees will not be formed without the specific guidance and knowledge of the Atlanta Parrot Head Club Members and the Board of Directors.

e.      Provide a detailed report summarizing the event, recommendations for the future of the event and a list of participating members for the tracking of community service points to individual’s Director.  This will be provided upon completion of event/function by the chairperson or a designated person on the committee.

 

2.      Webmaster

a.      Maintain Atlanta Parrot Head Club website ensuring it reflects current information.

b.      Be not slanderous or biased in language, intent or format on the Atlanta Parrot Head Club website.

c.      Refrain from foul, off-color or vulgar language on the Atlanta Parrot Head Club website.

d.      Refrain from using the Atlanta Parrot Head Club website to voice personal political opinions.

e.      Discuss new content or extreme content changes with Director of Communications prior to publishing.

f.        Promote good will for the Atlanta Parrot Head Club.

 

3.      Newsletter Editor

a.      Work with the Committee Chairs, Board of Directors to produce the newsletter on a timely basis. Generally, this will be on a quarterly basis.

b.      Be not slanderous or biased in language, intent or format in the newsletter.

c.      Refrain from foul, off-color or vulgar language in the newsletter.

d.      Refrain from using the newsletter to voice personal political opinions.

e.      Submit the newsletter to the Director of Communication for review prior to publication.

f.        Promote good will for the Atlanta Parrot Head Club.

 

4.      Ticket Administrator

Work under the PHIP guidelines and from the local point system to ensure all qualified members in good standing are awarded an opportunity to purchase PHIP designated concert tickets.

 

5.      Legal Counsel

An Attorney-At-Law may be employed by the organization at any time deemed necessary by the Board of Directors to perform legal duties for the organization.  He/she shall receive such remuneration for services as deemed necessary.

 

ARTICLE VI – NOMINATIONS, VOTING, AND ELECTIONS

 

The Atlanta Parrot Head Club will elect Board of Directors members for a two-year term under the conditions listed below:

 

A.      Election Chairperson

 

1.      No later than October 15 of each year, an Elections Chairperson will be selected by the current Board of Directors to serve as the individual who takes nominations, seeks acceptance or refusal of the nomination from the individuals nominated, distributes the ballots, counts the votes and announces the winners.  This individual will not be a current member of the Board of Directors or running for an open position and must be a Member of the Atlanta Parrot Head Club with 5 years of uninterrupted membership.

 

2.      Election Chairperson will call for nominations (either floor or self) starting at the first Happy Hour in November.

 

3.      The Election Chairperson will contact any member nominated from the floor, and determine if that member wishes to run, prior to listing them on the ballot.  That member is bound to all Nomination Requirements, shown in Article IV, Section B

 

4.      The Election Chairperson will make ballots available to all members in good standing no later than the first Happy Hour of January.  This can be done by email, web posting, or distribution at Atlanta Parrot Head Club functions including Happy Hours.

 

5.      The Election Chairperson will keep a paper copy of all nominations and ballots for a period of one year following the election.  At that point, all records may be destroyed.

 

B.     Nomination Requirements

 

1.      All nominees must be full-time residents of the State of Georgia and at least twenty-one (21) years of age.

 

2.      All nominees must be a member in good standing in the Atlanta Parrot Head Club for one (1) full year and must be an active member to be eligible to run for an elected position.

 

3.      All nominees must comply with the requirements as stated in the Atlanta Parrot Head Club bylaws.

 

4.      Nominees will not solicit votes through email, telephone calls, or any other Atlanta Parrot Head Club functions.

 

5.      Failure to comply with any of these requirements will immediately nullify the submission and the nominee will not be considered for candidacy.

 

6.      All open seats will be announced at the first November Happy Hour and/or included in the November newsletter and/or on the Atlanta Parrot Head Club website.  Floor nominations or self-nominations will be accepted during at Happy Hour or by contacting the Election Chairperson until the last Thursday of December.

 

7.      Any member wishing to run for an office must submit a paragraph why they want to be on the Board of Director by the last Thursday of December to the Election Chairperson.

 

8.      Ballots will be distributed at the first meeting of January and must be returned by one week prior to January 31.  No write-in nominations will be accepted.

 

C.     Voting Rights

 

1.      Each Atlanta Parrot Head Club member in good standing that has attained the age of twenty-one (21) or older is allowed one vote when issues for local vote are presented.

 

2.      Failure to cast one’s vote in writing and sign the ballot by the time indicated on the ballot is considered an abstention and no extension of time will be given.

 

3.      All ballots must be received one week prior to January 31.  Ballots will be made available through the Election Chairperson via email if applicable or at the first Happy Hour of January.

 

4.      Atlanta Parrot Head Club votes shall be collected and counted by the Election Chairperson prior to the first February Happy Hour and verified by members of the Board of Trustees.

 

D.     Election of Officers

 

1.      All winners will be announced at the first February Happy Hour.

 

2.      Within the first week after announcement of the new Board members, the newly elected and remaining board members must meet (in person, by email or by phone) to determine which roles each person will assume for the next year.

 

3.      The new officers will meet with the current Board of Director member that holds their new responsibility to shadow or transfer knowledge for the month of February and will assume their roles March 1.

 

4.      All winners’ names will be posted on the Club website and will appear in the first issue of the newsletter or email following the election.

 

5.      All elected officials will abide by these bylaws.

 

6.      All elected officials are mandated to attend the majority of Atlanta Parrot Head Club functions, including but not limited to, Board of Directors Meetings, Club business meetings, socials, and other functions.  At least twelve (12) combined Board of Directors Meetings, business meetings, socials, and community service activities must be attended in a one (1) year period to maintain the Board of Directors Member’s position.  This encourages non-Board of Directors member participation as members view the Board of Directors as role models, and additionally guarantees an unbiased vote at Board of Director Meetings.

 

7.      The Board of Directors may grant an official leave of absence to an elected official provided a two thirds majority vote is achieved for reasons including, but not limited to, illness, life crisis, job related, etc

 

8.      Any elected official may resign his or her position with a written notification submitted to Board of Trustees with a forty-eight (48) hour notification.  A Board of Trustees member will replace that individual for the remainder of his/her term.

 

9.      Any elected or appointed member of the Board of Directors who resigns from office in the middle of their term will not be eligible to run for any Board of Directors position for a period of two years from the date of their resignation.

 

10.  No calls for special elections will be honored.

 

11.  In the event that the seat has no nominees, the Board of Directors will recommend an appointee for the full upcoming term to be voted on by the Atlanta Parrot Head Club.

 

E.     Run Off Elections

 

In the case of a tie vote in any election, the election will be decided by a fifteen (15) day run-off.  The same rules for ballots will apply during the run-off.

 

ARTICLE VII – CONTRACTS, CHECKS, DEPOSITS AND FUNDS

 

A.      Contracts

 

1.      No Atlanta Parrot Head Club member or Director shall have the authority to represent Atlanta Parrot Head Club in any capacity, contract, obligation, function or event without the express written authorization to the Board of Directors of this organization.

 

B.     Checks, Drafts, etc.

 

1.      All checks, drafts, or other orders for the payment of moneys, notes or other evidence of Indebtedness issued in the name of the organization, shall be signed by the Director of Finance.

 

2.      The Director of Finance shall have the authority to designate other persons as authorized and described herein as deemed necessary.

 

3.      Any charges imposed on the Club due to insufficient funds (NSF) by an Atlanta Parrot Head Club member will be charged to that Atlanta Parrot Head Club member.

 

C.     Deposits

 

1.      Receipts of the organization shall be deposited on a timely basis.

 

2.      Any amounts due the Atlanta Parrot Head Club must be remitted within five (5) days of receipt of the service or merchandise (via electronic or paper copies).

 

3.      Credit will not be extended to any member of the Atlanta Parrot Head Club including the Board of Directors.

 

4.      Any incidental sum of money owed the Atlanta Parrot Head Club must be remitted prior to receipt of any concert tickets.

 

D.     Atlanta Parrot Head Club Expenditures

 

1.      Atlanta Parrot Head Club members wishing to be reimbursed for Atlanta Parrot Head Club-related activities or supplies necessary for official Atlanta Parrot Head Club events prior to spending monies shall:

a.      Obtain approval, either verbally or via email, from the Director of Finance for expenditures less than $50.00

b.      Obtain approval, in writing, from the Director of Finance for expenditures from $50.00 to $100.00.  (Email is acceptable.)

c.      Obtain approval, in writing, from the Director of Finance and Board of Directors for expenditures of $100.01 to $999.99.

d.      Expenditures of $1,000.00 or more shall not be approved by the Board of Directors without first obtaining a vote of approval from the membership.

e.      To obtain reimbursement, the member shall submit the written approval, as required, along with the original receipts to the Director of Finance.

f.        Atlanta Parrot Head Club members who anticipate incurring expenses for Atlanta Parrot Head Club-related activities should, after obtaining proper Board of Directors approval, seek to have the company invoice the Atlanta Parrot Head Club directly for the amount due.  If this is not possible, then submit the receipts to the Director of Finance in normal procedures set forth.

 

E.     Gifts

 

1.      The Board of Directors may accept, on behalf of the organization, any contribution or gift for the general purpose of the organization.

 

2.      Until such time that the organization receives an IRS tax exempt determination letter, the following disclosure statement must be included on all new member applications, renewal notices, any written solicitations and broadcast solicitations (including incoming calls in which membership is discussed): "This contribution is not deductible as a charitable contribution for federal income tax purposes."

 

3.      All and any contributions or gifts must be turned over to the Director of Merchandising or Board of Directors.

 

ARTICLE VIII – CONCERT TICKET GUIDELINES and PRINCIPLES

 

A.      Concert Ticket Guidelines and Principles

 

1.      Tickets, when made available to the Atlanta Parrot Head Club, are a privilege, not a right.  They are made available to the most "active" Atlanta Parrot Head Club members as a reward for their volunteerism throughout the concert point system year.  (May 1 to April 30)

 

2.      The most active members will be given first choice on purchasing tickets through the Atlanta Parrot Head Club.  Refer to Atlanta Parrot Head Club concert point system.  Ties may be broken by lottery.

 

3.      Members must participate in a minimum of eight (8) Community Service events (4 participation and 4 paid points) to be considered for Atlanta Parrot Head Club tickets.

 

4.      The maximum number of tickets available to each active membership is two tickets regardless of the number of shows at that venue.  The Ticket Administrator may adjust this figure based on ticket availability.

 

5.      A member is only allowed to accept tickets from one (1) PHIP chartered Club.

 

6.      If an eligible member turns down their ticket option, it passes on to the next eligible active member at the discretion of the Ticket Administrator.  The ticket acceptance/declination form must be returned to the Ticket Administrator.

 

7.      Your check for the ticket must be received by the deadline imposed or you will forfeit your option and your check will be returned without a ticket.  If the bank returns your check for insufficient funds, your tickets will be forfeited.  Cash or money orders will be accepted as payment for tickets as well.  (The Atlanta Parrot Head Club will not be held responsible for cash sent through the mail.)

 

8.      If a ticket is purchased and then cannot be used for any reason, that ticket must be returned to the Atlanta Parrot Head Club to be made available to the next eligible member.  The Ticket Administrator will make all attempts to resell the ticket to eligible members.  If a ticket cannot be resold, the original owner of the ticket will assume liability for the unsold ticket.

 

9.      The Atlanta Parrot Head Club must follow the rules of PHiP or our privilege for Club tickets will be forfeited.  These rules are:

a.      Best seats assigned to the most active Atlanta Parrot Head Club members.

b.      No sales to non-members, this means any friends or family who are not members of the Atlanta Parrot Head Club.

c.      No tickets are sold for more than face value.

d.      Tickets may not be sold to scalpers.  If you cannot use your ticket, you must return it to the Atlanta Parrot Head Club.

e.      Do not call anyone regarding Atlanta Parrot Head Club seats except the Atlanta Parrot Head Club Ticket Administrator.

f.        The Atlanta Parrot Head Club Ticket Administrator may amend these rules at the discretion of the Atlanta Parrot Head Club Ticket Administrator and in coordination with the PHIP Ticket Administrator.

g.      Any infraction of these rules will immediately result in the following:

(1)   Removal from the Atlanta Parrot Head Club

(2)   Loss of dues

(3)   Loss of privileges in both the Atlanta Parrot Head Club and PHiP

 

B.     Atlanta Parrot Head Club Concert Point System

 

Community Service Points

Participate in a community/charity event (which may include four cash donations) 1 to 2 points are given towards events based on the Community Service Calendar for the year.

 

C.     Goodwill Tickets:

 

1.      Remote Atlanta Parrot Head Club members (outside a fifty mile area from the Atlanta Parrot Head Club's official address) will also be eligible for these tickets provided they have donated services, time, or merchandise to justify the receipt of tickets.  The Ticket Administrator will determine this justification.

 

2.      Any non-Atlanta Parrot Head Club member must be an active member in good standing in his or her own local Club.  Notification will be sent to the individuals’ Club requesting validation of ticket worthiness.

 

ARTICLE IX – ALTRUISM

 

A.      Events and/or activities sponsored by the Atlanta Parrot Head Club will have a portion of the proceeds raised donated to a designated charity.

 

B.     The Atlanta Parrot Head Club will donate time and/or money to charities each year, preferably local charities.

 

C.     The Atlanta Parrot Head Club will be involved in at least one environmental cause a year.

 

D.     The Director of Community Service has the responsibility to make recommendations to the general membership as to which charities to support.  Individuals may also recommend charities and should do so through the Director of Community Service.

 

E.     Whenever possible, the designated charity shall be decided upon by Atlanta Parrot Head Club members at a general business meeting.

 

ARTICLE X – MISCELLANEOUS

 

A.      Any property belonging to the organization shall not be used or consumed by any person without written consent of the Board of Directors after approval by majority vote on the request. The term "property" includes all property real or personal, tangible or intangible, which may be owned, created by or in the possession of the organization absent an overriding legally enforceable contract, including the Atlanta Parrot Head Club logo.  (examples – trailer, Atlanta Parrot Head Club banners, etc)

 

B.     The fiscal year for the Atlanta Parrot Head Club shall begin on January 1 and end on December 31.

 

C.     The following statement is to be added to each printed and/or published membership directory: "This directory is for the exclusive use of Atlanta Parrot Head Club.  It is not to be utilized for any purpose not directly associated with our bylaws nor is it to be released to other parties without the approval of the Board of Directors."  Atlanta Parrot Head Club Members have a choice is they want their information available.

 

D.     Use of Atlanta Parrot Head Club mailing lists by the Atlanta Parrot Head Club members or leaders for solicitation purposes of any kind (including charitable) are strictly prohibited without prior written approval of the Board of Directors and the Atlanta Parrot Head Club Members.

 

E.     No solicitation of Atlanta Parrot Head Club members will be authorized at any Atlanta Parrot Head Club function.  Solicitation includes distribution of business pamphlets, propaganda, or any material that could be construed as non-Atlanta Parrot Head Club related.  Solicitation of Atlanta Parrot Head Club members can result in removal from the APHC.

 

F.      The Atlanta Parrot Head Club does not assume responsibility for the conduct, actions or behavior of any member.

 

G.    Membership in the Atlanta Parrot Head Club does not allow individual members to use the name, lyrics, song titles, names of businesses, or copyrighted or reserved material owned by Jimmy Buffett.

 

ARTICLE XI – ADOPTION OF BYLAWS

 

A.      These bylaws will go into effect for an indefinite period no later than 11/15/2007.

 

B.     Infraction of Bylaws

 

1.      Any current Atlanta Parrot Head Club member may submit in writing only (signed, dated and clearly written), within 30 days of the occurrence of the stated infraction(s), to the Atlanta Parrot Head Club’s Board of Director and Board of Trustees, a detailed statement regarding the alleged infraction(s) of the Atlanta Parrot Head Club bylaws, by any other current Atlanta Parrot Head Club member.

 

2.      The Board of Directors will inform, by letter, the Atlanta Parrot Head Club member of the alleged infraction(s) against her or him.  The member will be given 30 days to provide a written response to the Board of Directors.  If the member chooses not to respond within 30 days, the Board of Directors will move forward to a decision without the member's input.

 

3.      At a scheduled Atlanta Parrot Head Club Board of Directors Meeting for the infractions, after the 30 day deadline, the Board of Directors will evaluate the alleged infraction(s) and make one of the following decisions:

a.      No Action - the Board of Directors has considered the alleged infraction(s) and the Board of Directors will take no action.

b.      Action – The Board of Directors has reviewed the alleged infraction(s) and an appropriate action has been determined as a majority decision of the Board of Directors.  The specific action is entirely left to the discretion of the Board of Directors and the Board of Trustees and is to be based only upon the stated infraction(s). 

 

4.      The member will be informed in writing within 30 days of the Board of Directors’ decision.  The member who submitted the original statement of alleged infraction(s) shall be provided with a copy of the Board of Directors’ decision.

 

C.     Amending Bylaw Procedures

 

1.      Any Atlanta Parrot Head Club member in good standing can propose amendments.  Any amendment should be submitted in writing to Board of Directors and the Board of Trustees.

 

2.      The proposed amendment(s) will be read at the next Atlanta Parrot Head Club meeting.

 

3.      A vote will be taken at an Atlanta Parrot Head Club business meeting.  A favorable vote of two thirds of members present shall be considered an effective change to the bylaws.

 

4.      If the bylaws are amended, the modified bylaws will be made available to Atlanta Parrot Head Club members within 30 days.

 

ARTICLE XII – CONFLICT OF INTEREST

 

A.      Any possible conflict of interest of any member of the Board of Director or member of the organization shall be disclosed in writing to the Board of Trustees.

 

B.     Where the transaction involving the Board of Directors Member, Atlanta Parrot Head Club or Trustee exceeds five hundred dollars ($500) but is less than five thousand dollars ($5,000) in a fiscal year, a two thirds vote of the disinterested Board of Directors members (Board and Trustees) is required.

 

C.     Where the transaction exceeds five thousand dollars ($5,000) in a fiscal year, then a two thirds vote of the disinterested Directors and publication in the newsletter is required. The minutes of the meeting shall reflect that a disclosure was made, the abstention from voting, and the actual vote itself.

 

D.     Every new member of the Board of Directors will be advised of this policy upon entering his or her office, and shall sign a statement acknowledging, understanding of and agreement to this policy.

 

ARTICLE XIII – DISSOLUTION OF ATLANTA PARROT HEAD CLUB

 

A.      Dissolution

 

Dissolution of the Atlanta Parrot Head Club shall require an affirmative vote of a majority of active members, entitled to vote thereon, who are present at a meeting called by the Board of Directors exclusively for such purpose.

 

B.     Atlanta Parrot Head Club Property

 

1.      Consists of all property owned by the Atlanta Parrot Head Club at the time of the decision to dissolve the Atlanta Parrot Head Club.

 

2.      The property either shall be sold to the Atlanta Parrot Head Club's current members or donated to another Parrot head Club, or a charitable organization.

 

3.      Money raised by the sale of property will be deposited into the Atlanta Parrot Head Club account.

 

C.     Atlanta Parrot Head Club Funds

 

Upon dissolution of the Atlanta Parrot Head Club, the Board of Directors, after paying or making provision for the payment of all of the liabilities of the Atlanta Parrot Head Club, shall arrange for the distribution of the remaining assets to a charity of the Board of Director's choice.
